1. Agreement to Terms
By accessing or using RapidAudit AI services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part, you may not access the Services.
2. Services Description
RapidAudit AI provides AI-powered third-party risk management services including:
- Automated vendor due diligence and risk assessment
- Continuous vendor monitoring and alerting
- Compliance framework mapping and reporting
- Risk analytics and portfolio dashboards
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and authorized to bind your organization to these Terms.
3.2 Account Responsibilities
- Provide accurate, current, and complete information
- Maintain security of your account credentials
- Notify us immediately of unauthorized access
- You are responsible for all activity under your account
4. Acceptable Use
4.1 You May:
- Use Services for legitimate business risk management
- Access and export your data
- Integrate Services with other business systems (via API)
4.2 You May Not:
- Violate laws, regulations, or third-party rights
- Reverse engineer, decompile, or extract source code
- Use Services to compete with RapidAudit AI
- Transmit viruses, malware, or harmful code
- Attempt unauthorized access to systems or data
- Scrape, crawl, or use automated tools (except provided APIs)
- Resell or redistribute Services without authorization
5. Data Rights and Usage
5.1 Your Data
You retain ownership of data you submit ("Customer Data"). You grant us license to use Customer Data solely to provide Services.
5.2 Our Data
We own all risk intelligence, AI models, algorithms, and platform technology. Risk scores and insights are our intellectual property licensed to you.
5.3 Aggregated Data
We may use anonymized, aggregated data for analytics, benchmarking, and product improvement without identifying specific customers.
6. Fees and Payment
6.1 Pricing
Fees based on number of vendors monitored and features selected. Current pricing provided during signup and in customer portal.
6.2 Billing
- Billed monthly or annually in advance
- Automatic renewal unless cancelled 30 days before renewal
- Payment by credit card or invoice (annual plans only)
6.3 Late Payment
Accounts 15 days past due may be suspended. We charge 1.5% monthly interest on overdue amounts (maximum allowed by law).
6.4 Refunds
No refunds for partial months. Annual subscriptions may be cancelled for prorated refund within first 30 days.
7. Service Level Agreement
- Uptime: 99.9% monthly uptime (excluding scheduled maintenance)
- Support: Email support within 24 business hours; phone support for enterprise plans
- Maintenance: Scheduled maintenance notified 7 days in advance
- Credits: Service credits for downtime exceeding SLA (see SLA document)
8. Warranties and Disclaimers
8.1 Our Warranties
We warrant that Services will perform substantially as described in documentation and comply with applicable laws.
8.2 Disclaimers
SERVICES PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT:
- Completeness or accuracy of third-party risk data
- That Services will meet your specific requirements
- That Services will be uninterrupted or error-free
- That defects will be corrected within specific timeframes
9. Limitation of Liability
9.1 Liability Cap
OUR TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM.
9.2 Excluded Damages
WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES INCLUDING:
- Lost profits, revenue, or business opportunities
- Data loss or corruption
- Third-party claims
- Business interruption
9.3 Exceptions
Limitations do not apply to: (a) our gross negligence or willful misconduct, (b) death or personal injury, (c) fraud, or (d) liability that cannot be limited by law.
10. Indemnification
You agree to indemnify and hold us harmless from claims arising from: (a) your use of Services, (b) violation of Terms, (c) violation of third-party rights, (d) your Customer Data.
11. Termination
11.1 By You
Cancel subscription anytime with 30 days notice. No refunds for remaining subscription period.
11.2 By Us
We may suspend or terminate for: (a) breach of Terms, (b) non-payment, (c) legal requirements, (d) security risks.
11.3 Effect of Termination
- Access to Services ends immediately
- You may export your data within 30 days
- We delete Customer Data per retention policy
- Outstanding fees remain due
12. Modifications
We may modify Terms with 30 days notice for material changes. Continued use after effective date constitutes acceptance. If you disagree, terminate your account before effective date.
13. Dispute Resolution
13.1 Governing Law
These Terms governed by laws of California, USA, without regard to conflict of law provisions.
13.2 Arbitration
Disputes resolved through binding arbitration (JAMS rules) in San Francisco, CA. Class action waiver applies.
13.3 Exceptions
Either party may seek injunctive relief in court for intellectual property or confidentiality violations.
14. General Provisions
- Entire Agreement: These Terms constitute entire agreement, superseding prior agreements
- Severability: Invalid provisions replaced with valid provisions reflecting intent
- Waiver: Failure to enforce provision does not waive right to enforce later
- Assignment: You may not assign without consent; we may assign freely
- Force Majeure: Not liable for delays due to circumstances beyond reasonable control
